Notice is here by given that, by an Act of Court dated 17 June 2019 made in the above matters, the Royal Court of Jersey (the “Court”) has directed a meeting (the “Court Meeting”) of Independent Scheme Shareholders (as defined in the scheme of arrangement referred to below) to be convened for the purpose of considering and, if thought fit, approving (with or without modification) a scheme of arrangement (the “Scheme”) proposed to be made pursuant to Article 125 of the Companies (Jersey) Law 1991 (as amended) (the “Jersey Companies Law”) between Tarsus Group plc (the “Company”) and the Scheme Shareholders (as defined in the Scheme) and that the Court Meeting will be held at The Malton Room, Radisson Blu Hotel, Dublin Airport, Dublin, Ireland on 11 July 2019 at 1:00 p.m., at which place and time all Independent Scheme Shareholders are requested to attend.
The Company is seeking those Scheme Shareholders to whom the Company's registrar, Link Asset Services Limited, has not been able to deliver notices dispatched to their address as recorded in the register of members or other last known address given by the Scheme Shareholders to the Company and whom the Company believes cannot (or their successors in title cannot) be traced without expenditure disproportionate to the nominal value of the Scheme Shareholder's shareholding in the Company (the “Untraceable Shareholders”).
Untraceable Shareholders requiring a copy of the Scheme and a copy of the explanatory statement required to be furnished pursuant to Article 126 of the Jersey Companies Law are invited to contact Link Asset Services on 0371 664 0321 (from within the UK) or +44 (0)371 664 0321 (from outside the UK), or at The Registry, 34 Beckenham Road, Beckenham, Kent BR3 4TU, before the Court Meeting on 17 June 2019.
