Full Description

This is a unique opportunity to join this non-financial services business, as their Governance Manager. This is a senior appointment and this is reflected in the generous salary on offer.

You will form part of the Senior Management Team and will be responsible for helping the business achieve its goals in delivering a robust corporate and governance service.

Job Description

  • Maintaining statutory records and filing returns with the FCA, the JFSC and GFSCs registries
  • Building new corporate databases
  • Preparing minutes of subsidiary companies boards, accurately and in a timely manner
  • Preparing minutes of committee meetings, accurately and in a timely manner
  • Assisting in the collation, production and distribution of board, committee and pension Trustees meeting packs
  • Participating in the production of the Annual Report & Accounts
  • Assisting with the renewal of the insurance portfolio and building supporting databases
  • Supporting the Chief Governance Officer & Secretary with the preparation for and conduct of the AGM

Experience & Qualifications

  • Detailed knowledge of governance and corporate services
  • Ability to communicate with external parties, the board and the executive committee members
  • Ability to communicate effectively with all levels of management and colleagues within the organisation
  • A graduate and chartered secretary ACIS or accountant ACCA with strong experience on company secretarial roles
  • Strong level of business and financial acumen
  • Strategic mind-set
  • Ability to develop a risk management perspective with regards to areas of your responsibility
  • Ability to analysis the internal and external environment for data and trends and action the information
  • Consults, collaborates and communicates effectively
  • Has the ability to ensure that transactional aspects of the role are well executed in a fast-moving, changing working environment
  • Excellent IT skills, including MS Office 365 and Board Intelligence or a similar digital board environment and the ability to learn new applications
  • Excellent written and verbal communication skills, including the ability to communicate succinctly with senior stakeholders
  • Ability to work without close supervision whilst part of a team, in addition to being comfortable in an unstructured environment
  • Ability to embrace and advocate change and work under pressure and pace

Salary: 70k to 90k depending on experience + very good benefits
