With increasing regulation and external scrutiny, leading specialists in the legal arena will be exploring how best directors can protect themselves from potential risk at Collas Crill's latest conference.
Taking place on 25 April, Wayne Atkinson and Gareth Bell from Collas Crill will be presenting at the half day conference alongside leading barrister Philip Marshal QC from Serle Court and insurance and professional negligence specialist Paul Lewis from Herbert Smith Freehills LLP on what directors of financial services businesses need to know and do in the modern regulatory era.
Group partner and part of Collas Crill's risk and regulatory practice, Wayne regularly advises a range of financial services businesses on risk and regulatory matters as well as transaction and investment structuring, commercial contracts and mergers and acquisitions. Wayne also advises company boards in relation to activist shareholders.
"The range of potential issues directors are faced with seems to broaden every day. With financial and reputational damage always a threat, it's hugely important that directors continually remind themselves of how to mitigate risks to both their companies and themselves. We're here to provide advice on what it is they need to do and the pitfalls they can avoid," Wayne said.
Gareth, a partner in Collas Crill's dispute resolution practice who specialises in complex financial services litigation, will be discussing recent case law involving claims against directors. Gareth has been acting for the non-executive directors of Carlyle Capital Corporation Limited (the largest piece of litigation ever in Guernsey) for the past seven years, including a six month trial in 2016, and is known for his detailed knowledge of directors' duties and bringing and defending claims against directors.
"When examining case law, it's easy to focus on the negatives. We want to use these lessons in a positive way, to educate rather than scare anyone off," Gareth said.
“One of the Bar’s most successful silks”, Philip Marshall QC is a senior commercial and chancery silk who specialises in complex commercial disputes including those with a focus on company and insolvency law. He will be examining key points from the different cases he's seen including Shlosberg v Avonwick Holdings, Carlyle Capital v Conway, Re Lehman Brothers Ltd and ISIS Investments v McHarrie.
Paul Lewis is the head of the contentious insurance group at Herbert Smith Freehills. He advises on all types of insurance products but has a particular expertise in directors and officers insurance. Paul will provide an insight into issues he has seen regularly arise in both the placement of D&O insurance and when trying to access the cover following a claim. He will also look at the changes the Insurance Act 2015 brought in and what benefits this has brought in for directors.
