We are looking for a Company Secretary to join our growing Finance team and lead a team of 3 Governance
professionals. This person will provide clear guidance to company directors around Corporate Governance and act as
Corporate CoSec for all 150 companies across the group. You will also spend time coordinating restructures and
finance agreements, whilst bolstering our processes and procedures that ensure the company complies with legal and
regulatory requirements.

Company Secretaries are great business all-rounders and that’s what we need here at Columbia Group. You will have
a head for numbers, an eye for detail and are a stickler for accuracy. You will use your knowledge about company law
to drive our businesses forward, constantly keeping up to date of legal requirements and advising the board on how
to keep the company on the straight and narrow.
Responsibilities
Corporate Governance acting as Corporate CoSec for all companies across the group (approx. 150 companies
– many of which or property investment Cos, but a mix of property development, construction, investment
and trading Cos)
Coordinate and issue DD to banking and legal partners
Formation of NewCo’s and bank accounts
Minute taking
Preparation of board packs
Managing substance reporting
Managing and recording all SPV strategy documentation
Classification of business activities for each entity
Working with our internal IT project manager to produce consolidated reports from the CRM and other data
sources
Key person for coordinating restructures and finance agreements
Creating internal loan agreements and ensuring that loan charges are put in place where appropriate
Remediation and/or updating of any defective/outdated documentation
Periodic reviews of internal loans
Reporting to the Board of Trustees

Relevant Qualification (e.g. ICSA)
Attention to detail, the ability to work without supervision and under pressure is required, together with a
proactive attitude generally towards the day to day activities
Experience in the maintenance of electronic statutory record systems and filing, including electronic records
Excellent knowledge of legal regulations and procedures, especially offshore
Strong attention to detail and good analytical skills
