Ogier advise UBM Plc on £3.9 billion offer

An Ogier team led by Global Head of Corporate, Simon Dinning, is advising UBM Plc on a recommended offer by Informa Plc, valued at £3.9 billion.

Ogier is advising on the Jersey law aspects of the proposed deal, working with lead counsel Linklaters.

Mr Dinning is assisted by managing associate Alexander Curry, senior associate Saraid Taylor and associate Chloe Watson-Hill.

UBM Plc is a long-standing client of Ogier and the deal, which comprises share and cash components, will be effected by way of a scheme of arrangement in Jersey.

Mr Dinning said: "We are delighted to, once again, represent UBM in another extremely significant transaction. The use of schemes in Jersey to implement takeover offers, as in the UK, is becoming increasingly popular and Ogier have a leading position in this area. We look forward to working with Linklaters to assist UBM throughout this deal."
